1. Applicability<\/h3>\n

1.1. These delivery terms apply to all offers, orders, quotations, deliveries, and agreements where Climate King BV supplies products to consumers residing within the member states of the European Union.
1.2. Deviations from these delivery terms are only valid if they have been expressly confirmed in writing by Climate King BV.
1.3. The use of general terms and conditions by the consumer is expressly excluded, insofar as this is legally permitted, and all provisions contrary thereto are deemed not to apply. <\/p>\n

2. Offer and Formation of the Agreement<\/h3>\n

2.1. All offers, product descriptions, specifications, images, and other information provided on the website and in the webshop of Climate King BV are purely informative in nature and do not constitute a binding offer, subject to written confirmation by Climate King BV or full execution of the order.
2.2. For each product, it is explicitly indicated whether it is in stock or has an expected delivery time, and this information is also communicated to the consumer at the checkout of the order to provide the most accurate expectation possible.
2.3. The agreement between the consumer and Climate King BV is established at the moment the consumer places an order via the webshop and full payment for the relevant products has been received by Climate King BV, whether or not prior to delivery. <\/p>\n

3. Prices and Payment<\/h3>\n

3.1. The prices used by Climate King BV include statutory value-added tax (VAT), but exclude shipping costs, which vary depending on the country of delivery and are clearly displayed to the consumer at the time of checkout.
3.2. Payment for the ordered products must be made in full and entirely prior to delivery by the consumer via the payment methods offered and available in the webshop, and Climate King BV is not obliged to ship the products before payment has been received in full.
3.3. The consumer may only use the payment methods listed in the webshop and cannot enforce any alternative method of payment, unless otherwise agreed in writing with Climate King BV. <\/p>\n

4. Delivery and Risk<\/h3>\n

4.1. Delivery of the ordered products takes place exclusively via a carrier appointed by Climate King BV, unless expressly agreed otherwise in writing.
4.2. The risk of loss, damage, or other adverse consequences of the products passes to the consumer at the moment of delivery to the delivery address specified by the consumer, regardless of who bears the shipping costs.
4.3. Climate King BV is entitled to deliver orders in multiple shipments if this is deemed necessary by Climate King BV.
4.4. If delivery cannot be carried out as a result of incorrect, incomplete, or inadequate delivery information provided by the consumer, all additional costs incurred to realize the delivery, including any costs for re-delivery, temporary storage, or extra transport, shall be fully borne by the consumer. <\/p>\n

5. Right of Withdrawal and Returns<\/h3>\n

5.1. Consumers have the right to dissolve the agreement without giving reasons within a period of fourteen days after receipt of the products, subject to the exceptions as included in Article 5.6 of these terms.
5.2. To exercise the right of withdrawal, the consumer must make this known by means of the contact form on the Climate King BV website, whereby the consumer must specify the order so that the return can be processed.
5.3. The costs of returning the products are fully borne by the consumer, while the shipping costs charged by Climate King BV for delivery to the consumer will be refunded upon withdrawal.
5.4. The products must be returned by the consumer in their original condition, with all associated packaging and accessories, so that the products can be resold to another consumer by Climate King BV without additional processing. If the product undergoes a reduction in value as a result of use, contamination, or damage, this may lead to an offset of up to the full purchase price of the product.
5.5. Exceptions to the right of withdrawal apply to products that are not suitable for return for reasons of hygiene or health protection if they have been opened or used, including air conditioner air filters, where testing within the fourteen-day period is permitted, but full use is not permitted.
5.6. Returns should be sent to the following address:

6. Warranty and Non-conformity<\/h3>\n

6.1. Climate King BV guarantees that the products delivered by it comply with the agreement and are free from material and manufacturing defects for a period of at least two years after delivery.
6.2. In the event of non-conformity of the product, the consumer is entitled to restoration of the product by means of repair, replacement of the product, a reasonable price reduction, or dissolution of the agreement, according to what the consumer deems most appropriate, in accordance with applicable legislation.
6.3. The consumer must report defects to Climate King BV immediately, but no later than within a reasonable period after discovery, in order to claim the rights described above.
6.4. Technical advice, drawings, instructions, or other information provided by Climate King BV are purely indicative and do not constitute a guarantee regarding the application or results of the products. <\/p>\n

7. Force Majeure<\/h3>\n

7.1. Climate King BV is not obliged to fulfill any obligation towards the consumer if fulfillment is hindered by circumstances beyond its control, including, but not limited to, natural disasters, acts of war, pandemics, strikes, government measures, transport obstructions, fire, failure of energy networks or communication networks, and the failure of suppliers or subcontractors.
7.2. During the period in which force majeure is in effect, all obligations of Climate King BV are suspended. If the force majeure situation lasts longer than ninety days, both parties are entitled to dissolve the agreement in whole or in part without any obligation to compensate for damages. <\/p>\n

8. Retention of Title<\/h3>\n

8.1. All products delivered by Climate King BV remain the property of Climate King BV until the consumer has fully complied with all payment obligations under the agreement.
8.2. As long as the ownership of the products has not passed, the consumer is not permitted to alienate, pledge, or otherwise encumber the products. <\/p>\n

9. Intellectual Property<\/h3>\n

9.1. All documentation, images, drawings, software, or other information provided by Climate King BV remain the property of Climate King BV at all times.
9.2. The consumer is not permitted to reproduce, disclose, or in any other way make this information available to third parties without prior written permission from Climate King BV. <\/p>\n

10. Confidentiality<\/h3>\n

10.1. Both parties are bound to maintain the confidentiality of all confidential information they obtain from each other or from other sources in the context of the agreement, unless laws and regulations prescribe otherwise.<\/p>\n

11. Privacy<\/h3>\n

11.1. The processing of the consumer’s personal data takes place in accordance with the privacy policy of Climate King BV, which describes how and for what purposes personal data are processed and protected: Privacy policy.<\/a><\/p>\n

12. Complaints<\/h3>\n

12.1. Any complaints regarding the products or services should be submitted and will be handled in accordance with the procedure described on the complaints page of the Climate King BV website: complaints procedure<\/a>.<\/p>\n

13. Applicable Law and Competent Court<\/h3>\n

13.1. Dutch law applies to all agreements between Climate King BV and the consumer, insofar as this is not in conflict with mandatory European consumer protection legislation.
13.2. Any disputes may be submitted to the European Online Dispute Resolution (ODR) platform or to the competent court in the district where Climate King BV is established. [\/vc_column_text][vc_column_text css=””]<\/p>\n

Business Customers (B2B)<\/h2>\n

1. Scope and Relationship to Consumer Terms<\/h3>\n

1.1. These provisions apply exclusively to customers acting in the exercise of a profession or business.
1.2. The consumer delivery terms of Climate King BV apply in full to all agreements with business customers, with the exception of the provisions that expressly and with justification deviate from them in this section.
1.3. Insofar as provisions in this section deviate from the consumer delivery terms, the provisions in this business section shall prevail. <\/p>\n

2. Right of Withdrawal and Return<\/h3>\n

2.1. The statutory right of withdrawal as applicable to consumers is expressly not applicable to business customers.
2.2. Business customers have no right to dissolution or return of correctly delivered products after shipment.
2.3. Returns by business customers are only possible after prior written consent from Climate King BV, whereby Climate King BV is entitled to set additional conditions.
2.4. All costs and risks associated with returns, including transport costs, insurance costs, and the risk of damage or loss, are fully borne by the business customer. <\/p>\n

3. Payment and Suspension<\/h3>\n

3.1. Climate King BV is entitled to require full payment in advance from business customers, regardless of the chosen payment method or previous orders.
3.2. Business customers are not entitled to suspend their payment obligations or to offset them against any (alleged) claim against Climate King BV. <\/p>\n

4. Non-conformity and Complaints<\/h3>\n

4.1. Business customers are obliged to inspect the delivered products immediately upon receipt for visible defects and transport damage.
4.2. Visible defects and transport damage must be reported no later than within three working days after receipt via the contact form on the Climate King BV website.
4.3. In the case of defects that manifest later, notification must be made within a reasonable time after discovery, failing which any right to repair, replacement, or compensation expires.
4.4. In the event of established non-conformity, Climate King BV has the sole choice between repair, replacement, or refund of the product in question. <\/p>\n

5. Warranty and Liability<\/h3>\n

5.1. For business customers, only the statutory conformity as referred to in Article 7:17 of the Dutch Civil Code applies, without any additional consumer protection.
5.2. Climate King BV is not liable for indirect damage, consequential damage, business interruption loss, lost profits, missed savings, or damage as a result of business stagnation.
5.3. Any liability of Climate King BV is in all cases limited to the invoice amount of the product to which the liability relates. <\/p>\n

6. Other Deviations<\/h3>\n

6.1. Business customers cannot claim consumer protection provisions from European or national law, insofar as these are not mandatorily applicable to agreements between companies.
